Research Material Waiver & Liability Release

Effective Date: February 1, 2026 

Company: AxonPeptide (“AxonPeptide”, “AxonPeptide.com”, “we”, “us”, “our”)

User / Buyer: Referred to in this Agreement as “Customer”, “Researcher”, “Institution”, “User”, or “You”.

1. PURPOSE OF THIS AGREEMENT

By placing an order with AxonPeptide.com and accepting delivery of any product, reagent, compound, or material (collectively, “Materials”), You agree to the terms and conditions set forth in this Waiver & Liability Release (“Agreement”). This Agreement governs your use of all AxonPeptide.com products and services and is legally binding.

2. RESEARCH USE ONLY MATERIALS

All AxonPeptide.com Materials are designated Research Use Only (RUO).  You acknowledge and agree that:

  • Materials are NOT intended for human consumption, medical use, clinical application, veterinary use, or diagnostic purposes.
  • Materials are sold strictly for laboratory research, educational study, and investigational purposes only.
  • You will not administer Materials to humans or animals, nor use them in any clinical, therapeutic, or pharmacological context.

3. ASSUMPTION OF RISK

You understand and agree that research involving peptides, chemicals, reagents, and biologically active compounds carries inherent risks. By purchasing or handling AxonPeptide Materials, You acknowledge that:

  1. You have adequate training, facilities, and oversight to handle these materials safely.
  2. You accept full responsibility for the use, storage, disposal, and handling of Materials.
  3. You assume all risks associated with their use, including any personal injury, property damage, or adverse outcomes.

4. NO WARRANTIES

AxonPeptide MAKES NO EXPRESS OR IMPLIED WARRANTIES regarding:

  • Safety
  • Efficacy
  • Suitability
  • Fitness for a purpose

Materials are provided as is, and AxonPeptide expressly disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose.

5. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  1. AxonPeptide SHALL NOT BE LIABLE for any indirect, incidental, special, punitive, or consequential damages arising out of or related to the use of Materials.
  2. In no event shall AxonPeptide’s total liability to You exceed the purchase price paid for the specific Materials in question.
  3. Any claims, lawsuits, or causes of action must be brought within one (1) year from the date the event giving rise to the claim occurred.

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless AxonPeptide and its officers, directors, employees, agents, successors, and assigns from and against all claims, liabilities, losses, damages, costs, and expenses (including attorney fees) arising out of or relating to:

  • Your use or misuse of Materials
  • Any violation of this Agreement
  • Any negligent, reckless, or unauthorized conduct involving Materials

7. ORDER ACCEPTANCE, CANCELLATION & SHIPMENT

  1. All orders are subject to acceptance by AxonPeptide.
  2. Orders cannot be cancelled or modified once shipped.
  3. You acknowledge that AxonPeptide may begin processing immediately upon receipt of order.

8. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the state of [Your State], excluding conflict of laws principles.

9. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between You and AxonPeptide with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.

BY PLACING AN ORDER OR USING AXONPEPTIDE.COM MATERIALS YOU ACKNOWLEDGE AND AGREE TO THE TERMS OF THIS WAIVER & LIABILITY RELEASE.
