These Affiliate Terms & Conditions (the "Agreement") govern your participation in the AxonPeptide Creator Network (the "Program"). By submitting an application to the Program, or by accessing or using any affiliate links, discount codes, or promotional materials provided by AxonPeptide ("Company," "we," "us," or "our"), you ("Affiliate," "Creator," "you," or "your") agree to be bound by this Agreement.
PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS STRICT COMPLIANCE REQUIREMENTS REGARDING THE MARKETING OF RESEARCH-USE-ONLY (RUO) PRODUCTS, AS WELL AS INDEMNIFICATION CLAUSES AND LIMITATIONS OF LIABILITY.


1. Program Overview and Eligibility

1.1 Purpose: The Program allows approved Creators to earn commissions by referring customers to AxonPeptide.com using unique tracking links or discount codes.

1.2 Eligibility: To participate, you must be at least 18 years old, have an active and compliant social media presence, and submit a complete application. We reserve the right to accept or reject any application at our sole discretion.

1.3 Independent Contractor: You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between you and AxonPeptide. You have no authority to make or accept any offers or representations on our behalf.

2. Strict Compliance: Research-Use-Only (RUO) Restrictions

AxonPeptide supplies products strictly for laboratory research use. Our products are NOT intended for human consumption, diagnostic, therapeutic, or clinical procedures. As an Affiliate, your marketing must strictly adhere to these boundaries.
2.1 Prohibited Claims: You expressly agree that you will NOT, under any circumstances, make any of the following claims or statements regarding AxonPeptide products:
Human-Use Claims: Suggesting, implying, or depicting the products being used by or on humans.
Medical Claims: Claiming the products can diagnose, treat, cure, or prevent any disease or medical condition.
Weight-Loss or Healing Claims: Promoting the products for weight loss, muscle growth, anti-aging, injury recovery, or cosmetic enhancement.
Dosing or Protocol Instructions: Providing instructions, suggestions, or advice on how to administer, dose, or cycle the products.
Personal-Use Testimonials: Sharing personal experiences or results from consuming or administering the products to yourself or others.
2.2 Prohibited Terminology: You must avoid using terminology that implies clinical or human use, including but not limited to: "patients," "treatment," "therapy," "dose," "protocol," "cycle," "results," "side effects," or "supplements."
2.3 Approved Messaging: Your content must focus exclusively on the research and analytical aspects of the products. Approved topics include:
Lot verification and Certificate of Analysis (COA) transparency.
The AxonVerified QR code system.
Analytical records, purity, and quality review.
Responsible education regarding laboratory research materials.
2.4 Zero-Tolerance Policy: Violation of Section 2 is a material breach of this Agreement. We operate a zero-tolerance policy for medical or human-use claims. Any such violation will result in immediate termination of your account, forfeiture of all pending and unpaid commissions, and potential legal action.

3. FTC Disclosure Requirements

3.1 Mandatory Disclosures: You must strictly comply with the Federal Trade Commission’s (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising . You must clearly and conspicuously disclose your material connection to AxonPeptide in every piece of content that includes an affiliate link, discount code, or promotion of our products.

3.2 Clear and Conspicuous: Disclosures (e.g., #ad, #sponsored, #affiliate) must be placed where consumers will easily notice them, without needing to click "more" or scroll down. In video content, disclosures must be both verbal and visual.

3.3 Liability for Non-Compliance: You are solely responsible for ensuring your disclosures meet FTC standards. Failure to properly disclose your affiliate relationship may result in immediate termination from the Program.

4. Commissions and Payouts

4.1 Commission Rate: Affiliates earn a twenty percent (20%) commission on the subtotal of qualifying sales generated through their unique affiliate link or discount code. The subtotal excludes taxes, shipping fees, and any applied discounts.

4.2 Customer Discount: Customers using an Affiliate's unique discount code will receive a twenty percent (20%) discount on their order subtotal.

4.3 Qualifying Sales: A sale is qualifying if it is tracked by our affiliate software (UpPromote), is paid in full by the customer, and is not returned, refunded, or flagged as fraudulent within the thirty (30) day pending period.

4.4 Self-Referrals: You may not use your own affiliate link or discount code to purchase products for yourself. Self-referrals will not generate commissions and may result in account suspension.

4.5 Payout Schedule: Commissions are held in a "pending" state for 30 days. Approved commissions are paid out on the 15th of every month for the previous month's cleared balance.

4.6 Minimum Threshold: You must accrue a minimum balance of fifty U.S. dollars ($50.00) to trigger a payout. Balances below $50.00 will roll over to the next month.

4.7 Payment Method: Payouts are issued via the payment method configured in your UpPromote dashboard (e.g., PayPal). You are responsible for any transaction fees imposed by the payment processor and for all applicable taxes on your earnings.

5. Prohibited Promotional Methods

In addition to the RUO restrictions in Section 2, the following promotional methods are strictly prohibited:

5.1 Search Engine Marketing (SEM): You may not bid on AxonPeptide branded keywords (e.g., "AxonPeptide," "Axon Peptide coupon," "AxonVerified") or misspellings thereof on any search engine (e.g., Google Ads, Bing Ads).

5.2 Coupon Sites: You may not submit your discount code to coupon aggregation sites (e.g., RetailMeNot, Honey, CouponCabin). Codes found on these sites will be deactivated, and associated commissions will be voided.

5.3 Spam and Unsolicited Communication: You may not engage in spamming, unsolicited email marketing (CAN-SPAM violations), or deceptive marketing practices.

5.4 Brand Impersonation: You may not create websites, social media accounts, or domains that impersonate AxonPeptide or could confuse consumers into believing they are interacting directly with the official brand.

6. Intellectual Property and Brand Assets

6.1 License: AxonPeptide grants you a limited, non-exclusive, non-transferable, revocable license to use our logos, trademarks, and provided marketing assets (the "Brand Assets") solely for the purpose of promoting our products in accordance with this Agreement.

6.2 Restrictions: You may not alter, modify, or manipulate the Brand Assets in any way. You must immediately cease using all Brand Assets upon termination of this Agreement.

7. Indemnification

You agree to indemnify, defend, and hold harmless AxonPeptide, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

(a) Your breach of any representation, warranty, or obligation under this Agreement, specifically including the RUO restrictions in Section 2 and the FTC disclosure requirements in Section 3;

(b) Your gross negligence or willful misconduct;

(c) Any claims made by third parties (including regulatory agencies such as the FDA or FTC) related to your promotional content, statements, or marketing practices; or

(d) Your violation of any applicable law, rule, or regulation.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXONPEPTIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Term and Termination

9.1 Term: This Agreement begins upon our acceptance of your application and continues until terminated by either party.

9.2 Termination Without Cause: Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice.

9.3 Termination For Cause: AxonPeptide may terminate this Agreement immediately and without prior notice if you materially breach this Agreement (including any violation of Sections 2, 3, or 5).

9.4 Effect of Termination: Upon termination, you must immediately remove all affiliate links, discount codes, and Brand Assets from your platforms. If terminated for cause (e.g., compliance violations), you forfeit all right to any pending or unpaid commissions. If terminated without cause, we will pay any outstanding cleared commissions exceeding the $50 threshold during the next regular payout cycle.

10. Modification

We reserve the right to modify any of the terms and conditions contained in this Agreement at any time and at our sole discretion. Notice of any change will be provided by email or by posting a new agreement on the Creator Command Center. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following our posting of a change notice or new agreement will constitute binding acceptance of the change.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State in which AxonPeptide is headquartered, without regard to its conflicts of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in that State, and you consent to the personal jurisdiction of such courts.
